    What you'll do...

    • Prove strategic legal advice and practical solutions to the Sourcing organization on a wide range of commercial legal and compliance matters while partnering with internal and external legal partners across the globe

    • Provide timely and effective legal advice and counsel to a broad assortment of clients on a variety of topics with a particular emphasis on commercial agreements, competitive bidding and contracting processes

    • Provide strategic legal advice and practical solutions for new business and contracting models; commercial sourcing services; diversity of sourcing (e.g., country of origin); organizational structures and related corporate governance

    • Identify the need for legal support within business transactions and projects

    • Structure, draft, negotiate and drive to completion domestic and international transactions ranging from intercompany agreements to transactions covering vendor agreements, multi-country master purchase, global framework agreements, master service agreements, and statements of work

    • Draft and negotiate complex commercial contracts with little escalation including identifying issues and risks (e.g., indemnification, limitation of liability) and coordinating where necessary with subject matter experts on topics such as IP, tax, finance, data protection, data privacy, etc.

    • Bring structure, consistency, and efficiency to the legal department's operations and support across the international sourcing operations

    • Develop best practices and procedures that will mitigate the company's risk

    • Work independently with minimal guidance from Lead and Managing Counsels

    What you'll bring...

    • Experience working on cross-functional teams and collaborating with legal and business stakeholders in multiple countries to move projects forward by gaining support needed

    • Extensive years of experience in commercial and international business law experience at a large law firm or corporate legal department, including complex multi-country agreements and cross-border transactions, preferably in a sourcing/supply chain/retail context

    • Experience advising global teams in broad range of procurement activity across the full contract lifecycle, from bid solicitation, competitive bidding, vendor selection, to contract negotiation, administration, and claim evaluation

    • Familiar with merchandising, product development, quality, packaging, labelling, logistics, supplier development, competitive bidding, supply chain visibility, compliance, international trade, and ESG issues

    • Experience with corporate and shareholder/board governance and procedures

    • Proven track record of risk identification, assessment, and mitigation

    • Excellent written and oral communication skills and can translate complex legal issues into readily understandable and actionable recommendations

    • Demonstrated ability to work practically and quickly to evaluate risk, solve problems, and make decisions that balance risk, opportunity, and business objectives
