  • Position : Corporate Counsel

    Location : Ohio, OH

    Job Purpose :

    The Corporate Counsel will report to the CBTS General Counsel and partner with business clients to provide holistic support well beyond legal issues, and act as a trusted, pragmatic business advisor and extended member of their team. The primary responsibilities for this role include ensuring compliance, drafting/reviewing contracts, and advising business groups and functions.

    Essential Functions :

    • Advise and counsel management and other internal clients across the business on commercial issues, legal compliance matters, contract interpretation, dispute resolution, and key risks;

    • Draft, review, revise and negotiate agreements for various commercial arrangements, including sales/customer agreements, services agreements, product sale agreements, distribution and sales representative agreements, vendor agreements, non-disclosure agreements and licensing and development agreements. Broadly serve as a legal resource for the Company's business, sales and/or procurement teams;

    • Analyze risks, and counsel various business stakeholders of potential business decisions in contract obligations, as well as identify data privacy and security risks;

    • Respond promptly to requests from internal clients, and summarize and communicate legal risks in a way that business people can understand that pragmatically balances risk with the Company's business objectives;

    • Provide continuous improvement of standard form agreements, playbooks, contract templates, and legal and operational processes;

    • Provide leadership on cross-functional teams, identify legal issues, and provide legal options / analysis of possible legal solutions, all while interacting with external counsel (where appropriate), advisors, external vendors, and business;

    • Keep informed of new laws, regulations, and industry trends affecting the Company, and assist with the development of policies and training as needed;

    • Support corporate and strategic transactions, including mergers and acquisitions, divestitures, real estate and other related transactions;

    • Establish processes that incorporate best practices and the Company's strategic planning;

    • Lead strategic change and improve/ facilitate cross-functional communication via interaction with and advice to a wide array of Company business groups and functions;

    • Handle day-to-day legal issues arising in a growing and complex business - any other legal support as requested by the General Counsel.

    Experience :

    3 to 5 years of relevant legal experience at a law firm and/or in-house

    Education :

    • Juris Doctorate from an accredited law school and excellent academic credentials

    • Licensed and in good standing to practice law in one or more states where Company does business

    Special Knowledge, Skills, and Abilities :

    • Practical business judgment and understanding of the difference between legal requirements and business risk

    • Highly collaborative and motivated when working with colleagues to tackle collective challenges

    • Efficient management of outside counsel on an as-needed basis

    • Tremendous insight on a wide range of legal topics

    • Ability to manage multiple projects in a fast-paced environment with quick response time

    • Professional demeanor and team player with a high degree of confidentiality

    • Significant experience working as a commercial attorney and providing legal advice on a broad set of commercial and/or IP matters, with increasing levels of responsibility

    • Excellent organizational and planning skills and the capacity to simultaneously handle a variety of complex matters under deadline pressure

    • Strong demonstrated experience drafting and negotiating contracts

    • Excellent written, verbal and analytical skills and an ability to communicate complex issues in a simple way and to orchestrate plans to resolve issues and mitigate risks

    • Ability to form strong working relationships with other employees and business partners while maintaining firm adherence to proper legal standards

    • Sound business judgment and strategic thinking. Flexibility and an interest in working on a broad variety of legal matters in order to understand and advise the Company on legal implications of its business strategy

    • Attention to detail and the ability to work individually, within a multi-disciplinary team, as well as with external partners and vendors

    Supervisory Responsibility :

    • No supervisory responsibility

    • May supervise paralegal or outside counsel on project-specific work
