    Job Purpose

    As a Contracts Manager, you will work with business partners at the subsidiaries of Mitsubishi Chemical Group Corporation in the Americas and Japan. The portfolio companies range from manufacturers of carbon fiber, polyester film, and biodegradable resins to a branded pharmaceutical company, and a venture capital fund. As a Contracts Manager, you will deal with a diverse set of issues involving day-to-day transactions, material transactions, employment, intellectual property, litigation and investigations, compliance, regulatory matters, and corporate governance. This role will support the team as it grows toward the best-in-class legal and compliance team poised to advise MCA as it seeks to lead in sustainable chemistry.

    Principal Accountabilities

    • Serve as contract terms and conditions point person for multiple business units of MCA, providing support for a variety of agreements including NDAs, master services, vendor, and procurement activities (including software and equipment purchases), supply and distribution, among other projects.

    • Improve, develop, and manage contract templates, company playbooks for contract review, and standard operating procedures for contract lifecycle management.

    • Train on and drive compliance with corporate governance functions that arise in transactional work, including contract lifecycle management.

    • Provide guidance to increase the efficiency and scalability of legal support. Identify compliance issues, provide guidance, and consultation, and conduct periodic employee training & presentations on legal and compliance issues related to contract lifecycle management.

    • Implement and own the contract lifecycle management software platform for MCA.

    • Support extraordinary transactions from time to time, including diligence processes concerning mergers and acquisitions.

    Knowledge / Skills / Experience

    Education and Experience Requirements

    • Bachelor's degree or a master's degree in legal studies or Paralegal Certificate.

    • Relevant experience may substitute for educational requirements for exceptionally experienced candidates.

    • 5+ years of experience as a contract administrator, contracts manager, contacts paralegal, or similar role.

    • Experience in the chemical, energy, or a similar industry is strongly preferred.

    • CPCM or similar certification is strongly preferred.

    • Experience and confidence in drafting and negotiating a variety of agreements.

    • Confident ability to convey legal advice clearly, patiently, and effectively to non-legal colleagues and non-native English speakers.

    • Occasional travel for compliance training at affiliates as warranted.

    Skills and Other Requirements

    • Japanese language skills and/or cultural experience a plus.

    • Strong presentation skills and comfort level leading discussions relating to legal risk at the executive level.

    • Strong and astute negotiator with good judgment and strong problem-solving skills. Able to simultaneously manage workstreams, multiple client demands, and shifting priorities.

    • Ability to build productive, trusting relationships with personnel at supported businesses by obtaining a strong knowledge of the products and objectives of those companies.

    • Excellent interpersonal skills and ability to work effectively with employees at all levels.

    • High ethical standards and professional integrity.

    • Occasional travel for compliance training at domestic affiliates as warranted.

    Pay Transparency (complete highlighted sections)

    • The salary range for this position is $115,800 - $144,700. Factors such as scope and responsibilities of the position, candidate's work experience, education/training, job-related skills, internal peer equity, as well as market and business considerations may influence base pay offered. This salary will be subject to a geographic adjustment (according to a specific city and state), if an authorization is granted to work outside of the location listed in this posting.
