    We are seeking a seasoned In-house Counsel with substantial experience in the software licensing industry and a robust understanding of data privacy/security requirements and company policies. This role will serve as a primary advisor to the Sales and Product teams on a wide array of business issues and legal matters regarding contracts and licensing.

    Key Responsibilities

    1. Develop and maintain a solid understanding of the business by working closely with sales personnel and the rest of the organization.

    2. Provide advice to internal clients, mainly the Sales and Product teams, on various business issues and legal matters related to contracts and licensing.

    3. Draft and negotiate a wide range of agreements such as end-user, cloud subscription, professional services, non-disclosure, distributor, reseller, OEM and inbound-technology procurement.

    4. Assist in ensuring adherence to public company controls and procedures.

    5. Develop contract templates and provide training to Sales teams on contract selection, completion, negotiation thresholds, and other contract-related matters.

    6. Collaborate with the Legal team and other departments on critical issues related to data protection and security.

    7. Implement projects to streamline processes, automate workflows, and scale operations in response to higher sales volumes.

    Requirements

    Qualifications

    1. Must be a qualified attorney admitted to practice in one or more states in the United States and a member of one or more state Bar(s) in good standing.

    2. A minimum of five years' experience as in-house counsel.

    3. Proven expertise in the software licensing industry, including experience with enterprise transactions, on-premises licensing, SaaS/cloud offerings, channels, open source software, and software development practices.

    4. Comprehensive knowledge of data privacy and security requirements.

    5. Experience at a publicly traded company preferred, with an understanding of best practice internal controls, procedures, risk surveillance, dispute management, and escalation.

    6. Proficiency in revenue recognition rules and in ensuring agreements conform to current rules and company policies.

    7. Prior experience interacting with Sales teams through platforms such as Salesforce.

    8. Excellent communication, presentation and negotiation skills are a must.
