Vice President and Associate General CounselTitle: Vice President and Associate General Counsel Location: TX-Westlake Fidelity Investments is seeking an attorney with an ERISA background and employee benefits legal experience to join its in-house legal department supporting Fidelity's internal benefits and compensation programs as well as its international benefits programs. Fidelity employs over 39,000 employees.
Primary Responsibilities * Participate actively and substantively in new employee benefit, nonqualified deferred compensation and short- and long-term incentive compensation plan strategy, design and roll-out to Fidelity employees. * Draft and negotiate a variety of benefit-related agreements between Fidelity and its third party vendors. Work closely with Fidelity's procurement function. * Assist in drafting and reviewing employee communications related to the Fidelity's benefit offerings. * Provide support for ERISA and IRS compliance efforts including maintaining ERISA documents, supporting claims and appeals processes and nondiscrimination testing. * Oversight and support of international employee benefits offerings, currently comprised of offerings in Ireland, UK, China, Japan and India. * Respond to a wide range of questions from Fidelity's Human Resources business partners. Support business and compliance units in overall efforts to ensure all legal requirements, product specifications, and Fidelity policies are met. Provide training. * Serve as internal ERISA contact for other entities within the Company's ERISA controlled group. Assist other entities within the controlled group on an as needed basis with employee benefits related matters. * Research and analyze legislative and regulatory changes, questions and topics concerning benefit plan administration and executive compensation with a focus on tax, ERISA, state and federal healthcare reform, wellness, healthcare savings and privacy laws. Respond to regulatory inquiries and comment on proposed regulations. Participate in strategies to implement new laws and rules. * Act as a resource for other Fidelity business units and colleagues in the corporate Legal, Human Resources, Tax and Accounting departments.
Education and Experience * JD, bar membership and excellent academic record required. * Minimum of eight (ideally ten) years benefits and executive compensation experience with a recognized law firm, or equivalent experience. * Other requirements include flexibility, maturity, business judgment, creativity and a proclivity for customer service.
Skills/Knowledge * In-depth working knowledge of the Internal Revenue Code, ERISA, COBRA, HIPAA, with particular focus on executive compensation, defined contribution and health and welfare plan administration required. Additional experience or knowledge related to other HR outsourcing functions, such as payroll administration, employment, wage and hour, contracting or general corporate matters a plus. * Ability to analyze complex legal issues and develop creative business solutions. * Ability to work under pressure on multiple projects in a fast-paced environment with minimal supervision. * Ability to work and thrive in a team environment. Willingness to take initiative and act as project team leader. * Superior writing, oral communication, organizational, analytical, project management, and problem solving skills. * Excellent interpersonal skills and business judgment.
