Basic Functions: * Advances the interests of the Company and its operations through effective risk management of legal and securities compliance matters. * Provides primary legal support to the Companies' broker-dealer and general securities businesses. * Assists the General Counsel with respect to a variety of Corporate legal matters. * Provides primary legal support for the Securities Compliance Officer for the Company. * Engages and manages outside legal counsel as needed.
Essential Job Functions: * Provide primary Law Operation support of the Company's broker-dealer and other securities related activities. * Review vendor contracts, transaction agreements and other legal documents to protect the Company's business and legal interests. * Provide legal advice and services for business units and/or functions including: legal counsel in support of tactical and strategic business initiatives in connection with the development, sale, distribution and administration of financial services products; review, development and negotiation of business-related legal documents; legal oversight regarding the policies, procedures and practices of business units and/or functions. * Develop and maintain effective business relationships with management, outside counsel, government agencies, policyholders or their representatives in the course of providing legal services. * Maintain expertise in complex federal and state laws and regulations relating to securities and insurance. Qualifications:
* Law Degree from ABA-accredited law school * Appropriate securities licenses * Experience with legal matters from an administrative, contractual, statutory and regulatory standpoint * Strong working knowledge of the securities and financial services industries and related legal issues * Excellent analytical, problem solving and decision making skills * Excellent human relations, negotiation and written and verbal communication skills * Excellent organizational skills and the ability to manage multiple projects and competing priorities * Ability to travel as needed * Familiarity with computer applications Additional Preferred Qualifications:
* Seasoned knowledge of federal and state securities and financial services laws and regulations. * Actual experience in the drafting and negotiation of complex legal agreements * Experience with transactional activity.
